By accessing or using CMAS services, you agree to be bound by these Terms of Use. If you do not agree, please discontinue use of our services.
1. Description of Services
CMAS provides healthcare administrative support services to licensed healthcare providers and medical practices, including:
- Clinical Visit Documentation — Processing and entry of clinical encounter notes into Electronic Health Records (EHR).
- Clinical Coding & Charge Capture — Medical coding (ICD-10, CPT) and billing facilitation.
- Clinical Message Handling — Receiving, triaging, and routing clinical communications between clinics and physicians via SMS, email, and other messaging channels.
CMAS services are provided exclusively to healthcare professionals and medical organizations under executed service agreements. We do not provide medical advice, diagnosis, or treatment.
2. Acceptable Use
Users of CMAS services agree to:
- Use services only for their intended healthcare administrative purposes.
- Not use services for any unlawful purpose or in violation of HIPAA or other applicable regulations.
- Not attempt to gain unauthorized access to CMAS systems or data.
- Not transmit spam, malicious content, or unsolicited communications through CMAS messaging channels.
- Comply with all applicable federal, state, and local laws and regulations.
3. SMS & Messaging Services
CMAS provides SMS and messaging services in connection with our services, including identity verification via one-time passwords (OTP). By using these services:
- Consent: By providing your phone number and opting into our text messaging program, you consent to receive a one-time transactional security code on your mobile device. Standard message and data rates may apply.
- Opt-In Process: When you enter your phone number in our application's verification or sign-up flow and request a security code, you explicitly consent to receive an OTP message via SMS. We record your consent timestamp and phone number.
- Healthcare Providers and Clinics acknowledge that SMS is used as a supplementary communication channel and should not be used for emergencies or urgent medical situations.
- Clinic Staff and Physicians may receive SMS communications from CMAS on behalf of their contracted healthcare provider.
- Opt-Out: To stop receiving non-clinical SMS messages, reply STOP at any time to the number from which you received the message.
- Help: For assistance with SMS communications, reply HELP to the number from which you received the message, or contact us at [email protected].
- Carriers are not liable for delayed or undelivered messages.
- CMAS reserves the right to restrict or terminate messaging services for accounts that violate these terms or applicable regulations.
- Message delivery is not guaranteed. CMAS is not liable for delayed, lost, or undelivered messages caused by carrier issues, network problems, or recipient settings.
4. HIPAA & Regulatory Compliance
CMAS operates as a Business Associate under HIPAA. All services involving Protected Health Information (PHI) are subject to:
- Executed Business Associate Agreements (BAA) with covered entity clients.
- Compliance with HIPAA Privacy Rule, Security Rule, and Breach Notification Rule (45 C.F.R. Parts 160 and 164).
- Applicable state and federal healthcare privacy regulations.
Users are responsible for maintaining compliance with their own regulatory obligations as healthcare providers.
5. Intellectual Property
All content, software, processes, and proprietary methodologies used by CMAS in delivering services remain the intellectual property of CMAS or its licensors. Clients retain ownership of their own clinical data, patient information, and business records.
6. Limitation of Liability
CMAS provides administrative services and does not practice medicine. CMAS is not liable for:
- Clinical decisions made by healthcare providers based on information processed through our services.
- Errors or delays in message delivery caused by third-party carriers or network issues.
- Any indirect, incidental, or consequential damages arising from the use of our services.
7. Confidentiality & Data Protection
All information processed by CMAS is treated as confidential and protected in accordance with our Privacy Policy and HIPAA requirements. Employees and contractors are bound by confidentiality agreements and receive HIPAA training.
8. Termination
CMAS or the client may terminate services in accordance with the terms of the applicable service agreement. Upon termination, CMAS will securely return or delete all client data as specified in the service agreement and applicable regulations.
9. Modifications
CMAS reserves the right to modify these Terms of Use at any time. Continued use of services after modifications constitutes acceptance of the updated terms. Clients will be notified of material changes.
10. Governing Law
These Terms of Use shall be governed by the laws of the State of Delaware, without regard to conflict of law principles.
